Role Overview:
The Assistant Company Secretary is an important team player who supports the Deputy Company Secretary in the day-to-day operation of Nuix's Company Secretariat Function and assists in ensuring all corporate, legal, and regulatory obligations are met.
This position assists the Deputy Company Secretary in the efficient operation of the Board and its Committees and in providing corporate governance support to senior management.
It is a hands-on role requiring a self-starter who is reliable and professional, that works closely with directors, executives, and both internal and external stakeholders to uphold Nuix's commitment to strong corporate governance.
Location:
This position will be based in our Sydney office. The candidate is required to attend the office a minimum of 3 days per week but may voluntarily elect to work either remotely or from the Sydney office for the remaining 2 days of the week.
Key Responsibilities
Company Secretarial & Governance
Support compliance obligations under the Corporations Act 2001, ASX Listing Rules, ASIC requirements, and other global regulatory frameworks relevant to Nuix's operations.
Maintain statutory registers, minute books, and corporate governance records with meticulous attention to detail.
Assist with the preparation and lodgment of ASX announcements, board resolutions, and ASIC filings in accordance with regulatory timeframes.
Contribute to the drafting and compilation of the Annual Report, AGM documentation, and Corporate Governance Statement.
Support the development, implementation, and maintenance of Nuix's governance policies, charters, and procedures.
Support continuous disclosure practices and monitor price-sensitive information.
Assist with subsidiary governance and compliance across Nuix's global operations.
Support the Deputy Company Secretary in advising the Board and senior management on governance best practice and regulatory developments.
Board & Committee Support
Coordinate Board and Committee meeting logistics end-to-end, including scheduling, preparation and distribution of agendas, papers, and minutes.
Liaise with directors to manage governance processes, disclosures, and onboarding requirements.
Maintain an annual Board and Committee calendar and ensure timely follow-up on actions and decisions.
Coordinate director education and assist with independence assessments and governance reporting.
Support board evaluation processes.
Assist in preparing briefing materials and presentations for Board and Committee meetings.
Coordinate the induction of new directors and ongoing professional development.
Legal & Compliance Support
Review legal documents such as NDAs, contracts, and compliance-related materials.
Monitor regulatory developments and advise internal stakeholders on governance and disclosure implications.
Support insider trading compliance, including maintaining trading windows and registers.
Conduct legal research and due diligence activities for corporate transactions under the direction of the Deputy Company Secretary.
Skills, Knowledge and Expertise
Minimum 5–10 years' company secretarial experience.
Exposure to an ASX-listed company (or equivalent listed environment) preferred.
Administration exposure — assisting with board and committee meetings end-to-end.
GIA(Cert), or working towards GIA(Cert)/, FGIA, or FCG qualification highly regarded.
Working knowledge of the Corporations Act 2001, ASX Listing Rules, and ASIC Regulatory Guides.
Exposure to continuous disclosure, AGMs, and corporate transactions.
Proficiency with board portal software (e.g., Diligent, BoardEffect).
